Ingersoll Rand to Acquire Majority Interest in Shenzhen Bocom System Engineering Co. Ltd., a China-based Provider of Integrated Security Technologies and Services

Ingersoll-Rand Company Limited (NYSE:IR), a leadingdiversified industrial firm, today announced the signing of adefinitive agreement to acquire an 80 percent share of Shenzen BocomSystem Engineering Co. Ltd., a China-based provider ofsecurity-systems integration technologies and services. Theacquisition, which is subject to customary regulatory approvals, isexpected to close in the near future. Terms of the transaction werenot disclosed.

Headquartered in Shenzen, with branch offices in Beijing andShanghai, Bocom System is the largest independent security-systemsintegration company in China. The business supplies security-systemsdesign, engineering, installation and integration, including expertisein video monitoring solutions for city and highway traffic, airports,government buildings and general surveillance.

"Bocom System continues the development of Ingersoll Rand's globalsecurity-systems portfolio, providing technologies, expertise, andrelated integration services while expanding our capabilities in alarge and growing market," said Herbert L. Henkel, chairman, presidentand chief executive officer of Ingersoll Rand. "In addition, Bocomrepresents an excellent fit with Ingersoll Rand's existing securitysolutions, and expands our global footprint to serve strategic globalcustomers in the People's Republic of China."

The business will operate as part of the Integrated SystemsSolutions business of Ingersoll Rand's Security Technologies Sector, aleading global provider of products and services that makeenvironments safe, secure and productive. The sector's market-leadingproducts include electronic and biometric access control systems; timeand attendance and personnel scheduling systems; mechanical locks andportable security; door closers and exit devices; steel doors andframes; architectural hardware; and technologies and services forglobal security markets.
