UniQure Prices IPO At $17.00 Per Share - Quick Facts

(RTTNews) - uniQure B.V. announced the pricing of its initial public offering of 5.40 million ordinary shares at an initial public offering price of $17.00 per ordinary share.

In a recent regulatory filing, the company said it was offering 4.60 million ordinary shares. It expected the initial public offering price to be between $13.00 and $15.00 per ordinary share.

uniQure's ordinary shares have been approved for listing on the NASDAQ Global Select Market and are expected to begin trading under the symbol "QURE" on February 5, 2014.

uniQure B.V. is a private company with limited liability (besloten vennootschap met beperkte aansprakelijkheid) incorporated under the laws of the Netherlands. On or prior to completion of this offering, the company intends to convert into a public company with limited liability (naamloze vennootschap), and its legal name will be uniQure N.V.

In addition, uniQure has granted the underwriters a 30-day option to purchase up to an additional 810,000 ordinary shares from uniQure at the public offering price, less underwriting discounts. After deducting the underwriting discounts and other estimated offering expenses payable by uniQure, the net proceeds of the initial public offering are expected to be approximately $81.9 million.

The company estimate that the net proceeds from its issuance and sale of 5.40 million ordinary shares in this offering will be approximately $81.9 million, based on the initial public offering price of $17.00 per share, after deducting underwriting discounts and commissions and estimated offering expenses payable by the company. If the underwriters exercise in full their option to purchase additional shares, it estimates that the net proceeds from this offering will be approximately $94.7 million.

The offering is expected to close on or about February 10, 2014, subject to customary closing conditions.
