Solera and GTCR to Acquire Claims Services Group from Automatic Data Processing, Inc.
Solera, Inc., a provider of consulting, outsourced services, andstrategic technology solutions focused on the claims process,announced today a definitive agreement to acquire Automatic DataProcessing, Inc.'s (NYSE:ADP) Claims Services Group (CSG), for $975million in cash. CSG is the largest global provider of automotiveclaims solutions. Solera was formed by industry veteran Tony Aquila,in partnership with GTCR Golder Rauner, one of the nation's leadingprivate equity firms with over $6 billion of committed capital.
With revenue in excess of $410 million, an unparalleled expandingglobal network of approximately 50,000 customers, and approximately2,000 world-class associates across 26 countries, CSG is the clearglobal leader in providing integrated end-to-end claims processingsolutions. The company's products cover all touch points from the timeof an automobile accident to the resolution of associated claims. Itstechnology, products and services help insurance carriers, collisionrepair shops, and automotive recyclers automate their core businessprocesses, streamline their workflows with industry partners, andmanage and optimize their performance.

The transaction, which represents the largest acquisition in theautomotive claims solutions industry to date, is subject to regulatoryreview and is expected to close within ninety days.
