RCF VI CAD LLC Acquires Shares of TMAC Resources Inc.

DENVER, Nov. 9, 2017 /CNW/ - RCF VI CAD LLC ("RCF VI") reports that it has purchased 2,309,986 common shares (the "Subject Shares") in the capital of TMAC Resources Inc. ("TMAC") in connection with TMAC's public offering of 3,081,802 TMAC common shares and concurrent private placement of 4,489,628 (collectively, the "TMAC Offering").

The Subject Shares were acquired at a price of $7.00 per Subject Share, for aggregate gross proceeds paid to TMAC of $16,169,902.

Following the completion of the TMAC Offering, RCF VI beneficially owns, directly or indirectly, 27,959,260 TMAC common shares, representing approximately 30.51% of TMAC's common shares. Immediately prior to the completion of the TMAC Offering, RCF VI owned, directly or indirectly, 25,649,274 TMAC common shares representing approximately 30.51% of TMAC's common shares.

RCF VI acquired the Subject Shares for investment purposes. RCF VI may from time to time acquire additional securities, dispose of some or all of the existing or additional securities or may continue to hold the securities of TMAC.
