FTC Seeks Additional Information On Pfizer's Proposed Acquisition Of Hospira
(RTTNews) - Pfizer Inc. (PFE) announced that it has received a request for additional information from the U.S. Federal Trade Commission or "FTC" with respect to its previously announced proposed acquisition of Hospira Inc. (HSP).
The request for information from the FTC, often referred to as a "second request," was anticipated as part of the regulatory process under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 ("HSR Act").
Pfizer noted that it continues to work cooperatively and expeditiously with the FTC in connection with its review. Completion of the transaction remains subject to the expiration of the waiting period under the HSR Act, governmental and regulatory approvals in certain other jurisdictions and other usual and customary closing conditions.
Pfizer and Hospira continue to expect the transaction to close in the second half of 2015.
In early February, Pfizer agreed to acquire Hospira for $15.23 billion in cash to improve the growth trajectory of its global established pharmaceutical business.
