SPORTTOTAL AG: Capital Increase Fully Placed

Private placement for institutional investors / gross issuing proceeds of EUR 7.98 million / offering substantially oversubscribed / funds earmarked for growth financing of sporttotal.tv

Cologne, November 6, 2017. SPORTTOTAL AG has placed all new stocks from its capital increase from Authorized Capital announced today (November 6, 2017) and offered to institutional investors in Germany and in other European countries. In the context of the private placement, excluding shareholder subscription rights, a total of 1,946,666.00 new stocks were issued at a price of EUR 4.10 per stock. The offering was significantly oversubscribed. Gross issuing proceeds amount to EUR 7.98 million.

Consequently, the capital stock has increased by EUR 1,946,666.00 to EUR 21,415,329.00 against cash contribution through issuing up to 1,946,666 new no-par value bearer stocks representing a pro rata amount in the capital stock of EUR 1.00 per stock.

The new stocks qualify for profit participation from January 1, 2017 onwards. Admission of the new stocks to trading on the regulated market (General Standard) of the Frankfurt Stock Exchange is anticipated on November 10, 2017, with the inclusion of the new stocks in the existing listing scheduled by November 13, 2017.

The net issuing proceeds from the capital increase are to be used to finance the growth of sporttotal.tv.
