New York, December 29, 2015 -- Moody's Investors Service (Moody's) was informed that the principals of 5TS Acquisition LLC, a Delaware limited liability company, have requested the transfer of a 49% managing member interest in the indirect owner of the Five Times Square borrower to RXR VAF III 5TS Investor LP, an affiliate of RXR Realty LLC. As part of the transaction RXR Real Estate Value Added Fund -- Fund III LP, RXR RE VAF -- Fund III Parallel A LP, RXR RE VAF -- Fund III Parallel B LP and RXR RE VAF -- Fund III Parallel B (REIT) LP (collectively, the "RXR Guarantors"), will be added as a Guarantor/Indemnitor for the non-recourse carve outs and environmental indemnities and the Five Times Square borrower will change its name from Square Acquisition LLC to RXR 5TS Owner LLC.
