Viisage and Identix Clear Hart-Scott-Rodino; Merger on Schedule to Close in the Second Quarter

Viisage Technology, Inc. (Nasdaq: VISG) and IdentixIncorporated (Nasdaq: IDNX) jointly announced that the U.S. Departmentof Justice has granted the parties early termination of theHart-Scott-Rodino antitrust review process applicable to the pendingmerger between the companies. The early termination of the HSR reviewremoves a closing condition of the proposed merger. The transaction ison schedule and is expected to close in the second quarter of 2006,subject to approval by the Viisage and Identix stockholders.

At the closing of the merger between Viisage and Identix, Mr.LaPenta, will become Chairman and Chief Executive Officer of the yetto be named combined Company.

On January 12, 2006, the two companies announced that they hadentered into a definitive merger blending two complementary approachesto solving the challenge of protecting and securing personalidentities by establishing the industry's most comprehensive singleplatform for multi-modal finger, face, skin and imaging identitysolutions.
