COURSE OF THE ANNUAL GENERAL MEETING

The Board of Directors’ report was not subject for voting. The Annual General Meeting took note of the report.

The audited Annual Report of 2017 was approved by the Annual General Meeting.

The Annual General Meeting likewise approved that the fees for the Board of Directors for 2018 remain unchanged.  

Sanna Mari Suvanto-Harsaae, Anders Tormod Skole-Sørensen, Peter Liebert Jelkeby and Kristian Carlsson Kemppinen were all reelected. Erik Albert Ingemarsson decided not to stand for re-election. Instead the Annual General Meeting approved the election of Søren Mygind Eskildsen and Carsten Bjerg as new members of Board of Directors. Thus, the Board of Directors consists of six Board Members.

Pursuant the proposal from the audit committee of the Board of Directors, Deloitte, Statsautoriseret Revisionspartner-selskab, was approved by the Annual General Meeting.

The Annual General Meeting furthermore approved the below stated proposal from the Board of Directors:

In order to maintain the financial resources for future strategic initiatives and with reference to the IPO prospectus dated 13^th of November 2017, item 21.5.1, there will be no distribution of dividend for 2017.

Following the Annual General Meeting, the Board of Directors constituted itself by electing Sanna Mari Suvanto-Harsaae and Kristian Carlsson Kemppinen as Chairman and Vice Chairman of the Board of Directors.
