Southern Union Prices Equity Units Offering

WILKES-BARRE, Pa.--(BUSINESS WIRE)--Feb. 7, 2005--Southern Union Company ("Southern Union" or the "Company") (NYSE:SUG) announced today that it has priced its offering of $100 million of equity units. The Company will issue 2,000,000 equity units at $50.00 per unit. The equity units carry a payment rate of 5 percent and will be issued with a premium of 25 percent over a Southern Union stock price of $24.61 per share. The offering is subject to customary closing conditions and is expected to close on Friday, February 11, 2005.
The Company will use the net proceeds from this offering to repay indebtedness incurred in connection with its investment in CCE Holdings, LLC. This offering will be completed under Southern Union's current shelf registration statement filed with the SEC.
The joint book-running managers for the offering are Merrill Lynch, Pierce, Fenner & Smith Incorporated and J.P. Morgan Securities Inc.
