Siliconware Precision Industries To Evaluate Offer From Advanced Semiconductor
(RTTNews) - Siliconware Precision Industries Co., Ltd. (SPIL) said that it has received an unsolicited tender offer from Advanced Semiconductor Engineering Inc. (ASX) to acquire up to 25% of the common shares and/or American depositary shares of the Company.
The board of directors of the Company has formed a review committee consisting of its independent directors today to evaluate the unsolicited tender offer from ASE and make a recommendation to the shareholders of the Company regarding this unsolicited tender offer.
The company noted that it will publish the recommendation and reasons for such recommendation from the Review Committee within the required time under relevant laws and regulations in Taiwan and the United States, which is expected to be within the next seven calendar days.
The Company strongly urged its shareholders to refrain from tendering any common shares or American depositary shares until the Review Committee has evaluated the unsolicited tender offer and published its recommendation and reasons for such recommendation.
On Friday, Advanced Semiconductor Engineering announced that it will purchase up to 25 percent of Siliconware Precision Industries for around $918.98 million.
