Proofpoint To Acquire Armorize Technologies For $25.0 Mln In Cash - Quick Facts

(RTTNews) - Proofpoint Inc. (PFPT) announced that it has agreed to acquire Armorize Technologies, Inc., a developer of cloud-based or SaaS anti-malware products, for about $25.0 million in cash.

The acquisition has been approved by the Proofpoint Board of Directors and by the requisite Armorize shareholders. It is expected to close in the third quarter of 2013.

Proofpoint expects the transaction to have an immaterial impact on revenues and billings during the third quarter and full year of 2013. In regards to non-GAAP net loss, Proofpoint expects its loss to increase by about $0.5 million or about $0.01 per share during the third quarter of 2013 and by about $1.0 million or about $0.03 per share for the full year 2013, excluding one-time costs associated with the execution of the merger.
