De Bilt, 27 February 2014 - Grontmij N.V. (the "Company") invites its shareholders to the Extraordinary General Meeting of Shareholders to be held on Friday 11 April 2014 at 13.00 CET in the Hotel Novotel Amsterdam City, Europaboulevard 10 in Amsterdam, the Netherlands.

The Company is contemplating to issue new shares through a private placement of convertible cumulative preference shares, as announced in the press releases issued on 26 February 2014. The agenda for the extraordinary general meeting includes the proposals required for the introduction and issuance of (not to be listed) convertible cumulative preference shares.

The full agenda, notes and the appendices to the agenda (appendix I: proposal for amendment of the articles of association and the explanatory notes thereto, appendix II: terms and conditions for conversion of the convertible cumulative finance preference shares and appendix III: explanatory notes to the terms and conditions of conversion) and the instructions for attendance will be directly and permanently available on the Company's website (www.grontmij.com) from 27 February 2014.

The mentioned information is also available for inspection by shareholders at the Company's office from 27 February 2014 until after the meeting. Shareholders may obtain a copy of the documentation free of charge.
