Mylan Comments On Statements Made By Perrigo

(RTTNews) - Mylan N.V. (MYL) tody commented on the statements made by Perrigo Company plc (PRGO) in relation to Mylan's offer to acquire Perrigo. Mylan also noted that the Irish Takeover Panel has issued a formal statement indicating that certain of Perrigo's recent statements may mislead shareholders and the market or may create uncertainty, in breach of the Irish Takeover Rules.

Mylan's Executive Chairman Robert Coury said, "Perrigo continues to make misleading comments with regard to Mylan's offer to acquire Perrigo—comments which have unfortunately been inaccurately repeated by other third parties. The Irish Takeover Panel today has issued a formal statement noting in detail the inaccuracies in Perrigo's public commentary. We are hopeful that today's statements will provide Mylan and Perrigo shareholders with even greater confidence in Mylan's previous statements with regard to the compelling nature of this transaction, our commitment to completing it, and our ability to realize the significant benefits from the combination, including the projected synergies, in order to create value for Mylan and Perrigo shareholders.

Mylan said that it is confident that acquiring Perrigo is the next step in continuing to deliver on this stellar track record of performance and value creation, to the benefit of both Perrigo and Mylan shareholders and other stakeholders.

Mylan also noted that it is grateful for the support of the many Perrigo shareholders Mylan has spoken to about this combination over the past several weeks, some of which already have publicly voiced their support.

As previously stated, Mylan intends to launch its offer to acquire Perrigo's ordinary shares after it receive the approval of Mylan shareholders at its upcoming extraordinary general meeting, and are confident that Perrigo shareholders will then support this transaction given the opportunities for value-creation presented by the combination.
