MidSouth Bancorp, Inc. Announces Pricing and Upsizing of Public Offering of Common Stock

LAFAYETTE, La., June 8, 2017 /PRNewswire/ -- MidSouth Bancorp, Inc. (the "Company") (NYSE: MSL) announced today that it has priced an underwritten public offering of 4,583,334 shares of common stock at a price of $12.00 per share, for gross proceeds of approximately $55.0 million.  The offering was increased from the previously announced amount of approximately $50.0 million of gross proceeds.

After deducting the underwriting discount and estimated offering expenses, the Company expects to receive net proceeds of approximately $51.4 million.  The Company expects to close the offering on June 13, 2017, subject to customary closing conditions.

Sandler O'Neill + Partners, L.P. is serving as the sole underwriter for the offering. The Company has granted the underwriter a 30-day option to purchase up to an additional 687,500 shares of common stock from the Company at the offering price.

Subject to receipt of required regulatory approvals, the Company intends to use approximately $32.0 million of the net proceeds of the offering to redeem all of its outstanding Series B Preferred Stock issued to the U.S. Treasury as a result of its participation in the Small Business Lending Fund. The Company intends to use the remaining portion of the net proceeds from this offering to enhance its capital structure, to fund future organic growth, for working capital, and other general corporate purposes.
