GOGL Circulates Request for Written Resolution of Shareholders

Golden Ocean Group Limited (the "Company") has today distributed to its shareholders a request for approval by resolution in writing to increase the Company's authorized share capital from US$5,000,000.00 divided into 500,000,000 common shares of US$0.01 par value each (of which 172,675,637 are in issue) to US$6,000,000.00 divided into 600,000,000 common shares of US$0.01 par value each by the creation of 100,000,000 common shares of US$0.01 par value each. The request is made to its shareholders with shares registered on the record date February 17, 2016. A copy of the request is attached.
