Foster To Delist From Nasdaq

(RTTNews) - Foster Wheeler AG (FWLT) Thursday said it plans to voluntarily delist its shares from the Nasdaq Globet Select Market. On February 13, the company had agreed with Amec Foster Wheeler plc that all the issued and to be issued shares of Foster will be acquired by AMEC International Investments BV, a wholly owned subsidiary of Amec Foster.

Following subsequent events, on November 13, the date of expiry of the offer made to Amec Foster, the offer was completed.

AMEC International accepted all the shares that were validly tendered and not validly withdrawn, the company said in a statement. Amec International owns about 99.3 percent of the shares, and has effected a squeeze-out merger under Swiss law to wholly own Foster Wheeler.

Foster Wheeler has notified the Nasdaq of its intent to delist its shares. It expects to file a form 25 on November 24, and the form will become valid ten days after filing. In that case, December 3 will be the last day of trading for Foster Wheeler.
