Announcement According to § 91ff Austrian Stock Exchange Act

Vienna, 30 June 2014: Today the Telekom Austria Group (VSE: TKA, OTC US: TKAGY) was informed by Schönherr Rechtsanwälte GmbH, representing América Móvil, S.A.B. de C.V. ("América Móvil"), Sercotel, S.A. de C.V. ("Sercotel"), and Carso Telecom B.V. ("Carso Telecom") about the following:

"On behalf of our clients we notify you in accordance with Section 91 et seq. Austrian Stock Exchange Act ("SEA") about a change in major shareholdings in Telekom Austria Aktiengesellschaft (ISIN: AT0000720008), Lassallestrasse 9, 1020 Vienna ("Telekom Austria AG" or "Issuer"):

Carso Telecom B.V. is a company established under Dutch Law which is via Sercotel controlled by América Móvil as defined in Section 92 no 4 SEA: Sercotel is a wholly-owned subsidiary of América Móvil and Sercotel holds 100 % of the shares in Carso Telecom.

Hitherto América Móvil directly held 7,935,700 shares with voting rights issued by Telekom Austria AG corresponding to 1.7914 % of the voting rights in the Issuer as well as indirectly via Carso Telecom 112,364,723 shares with voting rights issued by Telekom Austria AG corresponding to 25.3645 % of the voting rights in the Issuer. Therefore, América Móvil directly and indirectly hitherto held a total of 120,300,423 shares with voting rights issued by Telekom Austria AG corresponding to 27.1559 % of the voting rights in the Issuer.

Österreichische Industrieholding AG, registered under 80286v ("ÖIAG") currently holds 125,917,735 shares with voting rights issued by Telekom Austria AG corresponding to 28.4239 % of the voting rights in the Issuer.

On 23.04.2014 Carso Telecom and ÖIAG concluded a conditional shareholders' agreement ("Syndicate Agreement") regarding their shareholdings in Telekom Austria AG. The conclusion of this conditional Syndicate Agreement was notified on 25.04.2014. By 27.06.2014 all conditions precedent were fulfilled. Upon fulfillment of all conditions precedent the Syndicate Agreement became effective. This results in a disclosure obligation according to sec 91a para 6 SEA and in a total of voting rights attributable to Carso Telecom and América Móvil pursuant to sec 91 and 92 SEA as follows:

Carso Telecom according to sec 91, 92 SEA 238,282,458 / 53.7884 %;

América Móvil according to sec 91, 92 SEA 246,218,158 / 55.5797 %.

Upon the effectiveness of the Syndicate Agreement Carso Telekom and América Móvil have crossed the 30%, 35%, 40%, 45% und 50% thresholds of voting rights in the Issuer."
