The Management Board of RHI AG announces that it received a letter on December 30, 2015 at 10:06 a.m. stating the following:

"On behalf of our client, we hereby announce a change in significant shareholdings in RHI AG, FN 103123b, Wienerbergstraße 9, 1100 Vienna ("Issuer") in accordance with § 91 BörseG.

MS Private Foundation, FN 194908f, is a foundation under Austrian law, whose founder is Mag. Martin Schlaff, born on August 6, 1953, and which has held 11,347,058 no-par shares in the Issuer up to now.

It is noted that only Mag. Martin Schlaff holds founder rights, voting rights and certain controlling rights with respect to MS private foundation, but no other founder or any other persons hold such founder rights, voting rights and controlling rights with respect to MS Private Foundation. Therefore no element of equalization is given with respect to Mag. Martin Schlaff.

MS Private Foundation, FN 194908f, has sold and transferred all of its 11,347,058 no-par shares of the Issuer to MPS Foundation, FL-0002.498.534-9 based on a share purchase agreement of December 28, 2015. The effective date for the transfer of the shares subject to this agreement was the day the share purchase agreement was signed, hence December 28, 2015.

In accordance with § 91 in conjunction with § 92 BörseG, the following circumstances are thus reported:

1.MS Private Foundation now holds no direct voting rights and its Founder Mag. Martin Schlaff no indirect voting rights via MS Private Foundation in the Issuer, hence 0% of all voting rights.

2.Therefore, MS Private Foundation and its founder Mag. Martin Schlaff indirectly via MS Private Foundation have fallen below the threshold of 4% of the voting rights in the Issuer.

3.The effective date for falling below the threshold named under 2. is December 28, 2015."

Therefore, the following investors hold a significant stake in RHI AG: MSP Foundation, Liechtenstein, with a share exceeding 25%, Chestnut Beteiligungsgesellschaft mbH, Germany, with more than 5% and Silver Beteiligungsgesellschaft mbH, Germany, with more than 5%. The voting rights of Chestnut Beteiligungsgesellschaft mbH and Silver Beteiligungsgesellschaft mbH are exercised jointly.
