net mobile AG: Registration of squeeze-out resolution in commercial register

Dusseldorf, 13th September 2016 - The resolution of the Annual General Meeting of net mobile AG (ISIN DE0008137852) of 30 June 2016 regarding the transfer of the shares of the minority shareholders of net mobile AG to DOCOMO Digital GmbH as main shareholder in accordance with §§ 327a et. seq. AktG was registered with the commercial register of the company today.

By registering the transfer resolution in the commercial register, all shares of the minority shareholders have been transferred to DOCOMO Digital GmbH. Details on the settlement of the determined cash compensation in the amount of EUR 6.40 per no-par value bearer share will be announced by DOCOMO Digital GmbH in the Federal Gazette shortly.

It is expected that the listing of net mobile AG shares will soon be suspended. Until then, the stock exchange dealing still taking place will be a trade with and limited to the claims of the minority shareholders for compensation in cash. After registration of the transfer resolution in the commercial register, the net mobile AG shares still recorded in the deposits of minority shareholders evidence merely the claim for compensation in cash.
