Berlin, 07.03.2018: AE New Media Innovations SE (ISIN DE000A12ULL2): extraordinary general meeting / capital contribution in kind

Today the extraordinary general meeting of AE New Media Innovations SE passed a capital increase against a capital contribution in kind, from EUR 1,450,000 by EUR 10,000,000 to EUR 11,450,000, through the issue of 10,000,000 new non-par value bearer shares (ordinary shares), with a calculated nominal value of EUR 1.00 each.

The statutory subscription right of shareholders was excluded.

The new shares were issued at an issue price of EUR 5.3976 each and subscribed by the shareholders of Aladdin Blockchain Technologies Ltd, England.

The shareholders of Aladdin Blockchain Technologies Ltd made their contribution in kind by transferring all shares of Aladdin Blockchain Technologies Ltd to the company in accordance with the contribution agreement entered into between AE New Media Innovations SE and the shareholders of Aladdin Blockchain Technologies Ltd. The entering into the contribution agreement by AE New Media Innovations SE was approved by the shareholders meeting.

The capital increase against capital contribution in kind will become invalid if the resolution concerning the capital increase and the implementation of the capital increase are not recorded in the Commercial Register by 31.07.2018.
